Terms of Use
1. About these terms
These terms of use govern your access to and use of the website koykan-capital.hr, including all its language versions and subpages (the “Website”). By using the Website, you accept these terms. If you do not agree with them, please do not use the Website.
These terms apply to the Website only. Restaurant services, franchise relationships, investments and any other contractual relationship with Koykan are governed by separate documents that apply to them.
2. Who we are
The Website is operated by PLANETS GROUP d.o.o., a limited liability company established in the Republic of Croatia, with its registered office at Ivanićgradska ulica 38, 10310 Šumećani, Croatia, entered in the court register of the Commercial Court in Zagreb under MBS 080479467, OIB 90924418279 (“Koykan”, “we”, “us” or “our”).

References to Koykan in these terms include its legal successor, including following the planned conversion of PLANETS GROUP d.o.o. into a public limited company.
3. Use of the Website
You may use the Website for lawful purposes only. In particular, you must not:
- (a) use the Website in a way that breaches any applicable law or the rights of any third party;
- (b) attempt to gain unauthorised access to the Website, its servers or any connected system, or interfere with its security or proper functioning;
- (c) introduce viruses, malicious code or other harmful material;
- (d) collect content or data from the Website by automated means, including scraping, crawling or text and data mining, without our prior written consent, which we expressly reserve for the purposes of Article 4 of Directive (EU) 2019/790;
- (e) submit inaccurate information or impersonate another person through the forms on the Website.
We may temporarily suspend or restrict access to the Website, in whole or in part, where this is necessary for maintenance, security or compliance with the law.
4. Intellectual property
The Koykan name and logos, trade marks registered in the European Union and elsewhere, recipes, texts, photographs, graphics, video content, software and all other content of the Website are owned by Koykan or licensed to it, and are protected by copyright, trade mark and other intellectual property laws.
You may browse the Website and print or download pages for your own personal, non-commercial use. Any other use, including reproduction, republication, distribution, adaptation, sale or licensing of any content, requires our prior written consent, unless the content has been expressly made available for further distribution (for example, media materials) or the use is permitted by mandatory law.
Nothing on the Website grants you a licence to use the Koykan trade marks or logos. Use of the Koykan brand in running a restaurant is permitted only under a written franchise agreement.
5. Linking to the Website
You may link to the home page or to other public pages of the Website, provided that the link is fair and lawful, is not misleading, does not suggest any affiliation, approval or endorsement on our part that does not exist, and does not damage our reputation or take unfair advantage of it.
You must not use the Koykan logos or other trade marks in a link without a written licence, nor may you frame the Website or otherwise display its content within another website in a way that alters its appearance or conceals its source.
We may at any time ask you to remove a link to the Website, and you agree to remove it without delay at our request.
6. Third-party websites
The Website may contain links to websites and services operated by third parties, including social networks, delivery platforms and payment or booking services. We have no control over those websites and are not responsible for their content, availability or data processing. Your use of them is governed by their own terms and policies.
7. Information about our restaurants
Information about restaurants, opening hours, menus, products, prices, promotions and availability is provided for information only and may change without notice. Prices and offers are valid only as confirmed in the restaurant or in the ordering channel you use.
If you have a food allergy or intolerance, please ask restaurant staff before ordering. Information obtained in the restaurant takes precedence over information on the Website.
8. Franchise information
Information on the Website about the Koykan franchise system, partnership models and expansion is provided for information only. It is not an offer to enter into a franchise or any other agreement. Rights and obligations arise only from an agreement signed by both parties, and a franchise enquiry does not oblige either party to enter into one.
9. Information for investors
Content on the Website relating to the capital structure of the Koykan Group, its bonds, shares or other securities, investment instruments, investor events or investor relations is provided for information only.
That content is not an offer to sell, or an invitation to make an offer to buy, any securities, fund interests or other financial instruments, and does not constitute investment, legal, tax or other advice. Any offer is made solely on the basis of the applicable offering documentation, which may include a prospectus, an Information Document or other public disclosure required by law, and only in those jurisdictions and to those categories of investors specified in that documentation. Any investment decision should be made solely on the basis of that documentation, after obtaining independent professional advice where appropriate.
Documents relating to securities already issued, such as resolutions on bond issues, are published to inform existing holders and do not constitute a new offer.

Cookies and similar technologies that are strictly necessary for the Website to function are used without your consent. All other cookies, including analytics and marketing cookies, are used only with your prior consent, which you can give, refuse or withdraw at any time through the cookie settings on the Website. 12. Information you send us
When you contact us or submit a form through the Website, you confirm that the information you provide is accurate and that you are authorised to provide it. Please do not send us confidential information, or unsolicited ideas or suggestions that you expect us to keep confidential or to pay for. Unless we agree otherwise in writing, we are not obliged to treat such material as confidential or to respond to it.
13. Liability
We take reasonable care to ensure that the information on the Website is accurate and up to date. However, the Website is provided on an “as is” and “as available” basis, and we do not guarantee that it will operate uninterrupted, error-free or virus-free, or that the information on it is complete at all times. Where information is found to be inaccurate or out of date, we correct it as soon as we become aware of it.
To the extent permitted by Croatian law, we are not liable for any loss or damage arising from the use of, or inability to use, the Website or any linked website.
Nothing in these terms excludes or limits our liability for damage caused intentionally or by gross negligence, for death or personal injury, for liability arising from information published in connection with an offering of securities, or for any other liability that cannot be excluded or limited under applicable law, including the mandatory rights of consumers.

We may change the Website at any time and temporarily suspend or withdraw any part of it.
We may amend these terms from time to time. Amended terms apply from the date of their publication on the Website, which is stated below. Please check this page regularly.
15. Governing law and disputes
These terms and any dispute arising out of or in connection with them are governed by the laws of the Republic of Croatia.
Any dispute falls within the jurisdiction of the court having subject-matter jurisdiction in the place of Koykan’s registered office. If you are a consumer, this does not deprive you of the protection afforded by the mandatory provisions of the law of the country of your habitual residence, or of your right to bring proceedings before the courts of that country.

16. Language versions
These terms are published in Croatian and English, and may also be published in other languages. In the event of any difference between language versions, the Croatian version prevails.
17. Severability
If any provision of these terms is found to be void or unenforceable, the remaining provisions remain in full force, and the void provision is replaced by a valid provision that comes closest to it in purpose.
