Co-ownership of the Group behind every Koykan restaurant.
An investment in co-ownership of the Koykan Group, the company at the top of the structure, which owns the brand, the recipes and the franchise system and stands behind every restaurant and every capital channel. As a co-owner, you grow with the whole system: every new location, every new market and every new channel builds the value of what you own. The circle of co-owners is deliberately being filled up to a thousand small investors, before funds and strategic partners enter the ownership structure.

The investment opportunity in plain words.
Koykan is a street food chain that has been growing from Zagreb towards Europe since 2012. Koykan is present in four countries with 9 successfully opened restaurants, and is building the network towards more than 100 locations by 2030. At the top of it all stands the Group: the company that owns the brand, the recipes and the franchise system and earns from the whole network, directly from its own restaurants and, from partner restaurants, through franchise fees.
That Group has been built by small investors from day one: more than 500 of them have invested over EUR 4 million, and most have already collected two interest coupons. The circle is now being deliberately widened to a thousand co-owners, before funds and strategic partners enter the ownership structure. After that, an entry point as accessible as this one, from a few thousand euros, will no longer be possible in the same way.
Entry is simple: you subscribe for a Development Bond of EUR 5,000 or more, which pays you a fixed 7.5% a year, and during the life of the bond the Issuer also intends to offer such investors a co-ownership option: a voluntary exchange of bonds for stakes in the Koykan Group. How the subscription, the decision and the conversion work technically is explained further down the page, in the section How it works.
The investment opportunity at a glance
The top of the Koykan ownership structure, open to small investors.
Co-ownership of the Group is the highest of Koykan’s four capital channels: while the growth channel builds one cycle of new restaurants and the yield channel holds established locations, co-ownership of the Group covers everything: the brand, the system, all the restaurants and all the channels. That is why it carries the greatest long-term potential, but also the highest risk profile. Entry is open through a Development Bond with a co-ownership option, until the circle of a thousand co-owners is filled.
The top of the structure
You become a co-owner of the company at the top of the structure, the one that owns the brand and the system and stands behind every restaurant and every capital channel, in all the countries in which Koykan operates.
500+ investors before you
That many small investors have financed Koykan since day one, with more than EUR 4 million of invested capital. Most have already collected two interest coupons: a record of regular payments exists and can be verified.
A circle of 1,000 co-owners
The circle of co-owners is being filled up to a thousand small investors, deliberately before funds and strategic partners enter the ownership structure. More than 300 places have already been taken in earlier bond cycles, so entry is open for the rest of the circle.
Option threshold: EUR 5,000
The threshold for the Development Bond from which the Issuer intends to offer the co-ownership option. A bond without the option is available from EUR 1,000, but without a route into co-ownership.
7.5% a year
Until any conversion, your capital does not sit idle: the bond carries a fixed 7.5% a year, paid half-yearly, regardless of business results.
The decision is yours
We intend to offer the exchange to investors from EUR 5,000; the Issuer sets the terms and timing of that offer in a separate resolution. If you do not accept it, the bond is repaid: interest half-yearly, and the principal on 16 July 2029.
What you become as a co-owner
One stake, the whole system.
As a co-owner of the Group, you own the top of the structure: the company behind the brand, the system and all the channels. Here is what that means in practice for what you hold.
Co-owner of the brand and the system
The Group owns the Koykan brand, recipes, technology and franchise system. Every restaurant in the network, owned or partner-run, operates under that umbrella: owned locations bring the Group earnings directly, and partner locations do so through franchise fees. Your shares are a stake in that source.
Network growth works for you
The value of the Group is not built by one location but by the pace of the whole network: nine restaurants in four countries today, 20 new locations being built with operating partners, and a long-term goal of more than 100 restaurants by 2030. Each of those steps increases the business that stands behind your shares.
Above all the platform's channels
The growth and yield channels and the bonds finance individual parts of the growth, and the Group stands behind all of them. As its co-owner, you take part in what all the channels build together, without having to choose an individual project or cycle.
Long-term scenarios
The Group’s aim is a stock exchange listing once the circle of co-owners is filled and the network is built. Until then, co-ownership is a long-term position: value is built through the growth of the system and realised through future dividends, strategic transactions or the sale of shares after any listing. A direction, not a promise with a date.
Why now
A thousand places before the funds come in.
Koykan is entering a phase in which the ownership structure is changing: strategic partners and institutional capital are arriving. That is exactly why the circle of small co-owners is being filled now, while entry is still available from a few thousand euros.
Small investors came first
Koykan was built above all by more than 500 small investors who have invested over EUR 4 million since day one. Most have already collected two interest coupons: the Group has a track record of many years of regular payments to its investors.
More than 300 already on the way to co-ownership
Through earlier bond cycles, more than 300 investors have met the conditions for moving into co-ownership, and their transition begins as soon as the valuation is confirmed. The circle is therefore not only opening now: it is already filling.
Institutional capital at the door
Strategic partners are entering the ownership structure, and Series A follows, the first larger round aimed at funds. The partnership with Xela Group, an operator of global franchise restaurants in Germany, has already opened the German market: its territory covers the whole of Germany and is tied to a plan for 20 Koykan restaurants over four years, and the German public channel will raise capital under the German regulatory regime.
After that, different rules
This fundraising phase runs until fully subscribed. Once institutional capital has come in, an entry point into co-ownership as accessible as this one, from a few thousand euros, will no longer be possible in the same way.
9 restaurants
In four European countries: Croatia, Germany, the Czech Republic and Slovakia, with new locations under construction.
> EUR 90,000
Annual EBITDA per location, after all operating costs.
Since 2012
Since then, Koykan has been building its brand, technology, franchise concept and network of locations: fourteen years of operating experience behind this programme.
The Group in figures
What your stake rests on.
Co-ownership only makes sense if a real business stands behind it. These are the network figures behind the value of the Group, and with it the value of every stake.
CO-OWNERSHIP OPTION
One route, to the top of the structure
The option that the Issuer intends to offer to investors from EUR 5,000 leads to co-ownership of the Group. It covers the whole system and carries the highest potential, but also the highest risk profile. The growth and yield channels have their own bonds and their own subscription.
Co-ownership: shares in the Group; value grows with the whole network, the brand and all the channels; exchange terms under a separate resolution of the Issuer; a long-term horizon towards a stock exchange listing.
Growth: shares of the Koykan Growth Company, which builds new Koykan locations; return from the sale of established restaurants, through share buyback offers and a dividend for the remainder.
Yield: shares of the Koykan Yield Company, which holds established restaurants; return through an annual dividend out of their results.
Before you decide, you receive the documentation and personal support from the investor relations team. All the details of the growth and yield programmes are on their pages.
Forward-looking statement
This page is promotional content and is not a recommendation. Co-ownership is an ownership position: the value of the shares depends on the business of the Group and is not guaranteed. The binding terms and a complete list of risks are set out in the issue documentation.
How it works
From subscription to co-ownership, in three steps.
The route to co-ownership deliberately runs through the Development Bond: your capital earns fixed interest from day one, and you make the decision on co-ownership later, informed and without pressure. Everything is carried out through the Central Depository & Clearing Company (SKDD), the national securities register.
Step 1
Subscribe to the Development Bond
You subscribe for the Group’s Development Bond of EUR 5,000 or more, the threshold from which the Issuer intends to offer the co-ownership option. The bond is registered at SKDD, interest is paid half-yearly, and technical and administrative coordination of the subscription is carried out by Escont Partners d.o.o.
Step 2
A decision during the term: your choice, not an obligation
If the Issuer offers the exchange to investors from EUR 5,000, you decide whether to accept it: to move into co-ownership of the Group, or to stay with the bond until repayment on 16 July 2029. Before you decide, you receive the documentation, and investors with the option also have personal support from the investor relations team.
Step 3
Exchange for stakes in the Group
If you accept the exchange, the bond is exchanged for stakes on the terms and at the value that the Issuer sets in a separate resolution. In the meantime, the Group is being transformed from a limited liability company into a joint-stock company, so conversion takes place after that transformation. Implementation takes the form of a corporate action at SKDD, in several steps between SKDD, Koykan and you.
An investor in co-ownership of the Group does not enter by buying shares directly, but through a Development Bond with an option: your capital earns a fixed 7.5% a year from day one, and you decide on co-ownership only when the Issuer makes an exchange offer.
Why a bond at entry? The entry of new co-owners into the Group is a formal corporate event that is not carried out for each individual payment, while small investors arrive continuously. The bond brings those two rhythms together: every payment goes to work at once at a known rate of interest, and moves into co-ownership in an orderly way, through a single corporate action for everyone who has chosen the option.
The Issuer will set the exchange ratio and the method of determining value in a separate resolution, if and when it makes an exchange offer.
Safety net: the option is not an obligation. If you do not accept it, the bond remains what it is: 7.5% fixed a year and repayment of the principal on 16 July 2029.

Risks
What you need to know before investing.
Key risks
- Investing in securities carries risk, including the risk of losing part or all of the principal invested.
- Co-ownership of the Group is an ownership position: the value of the shares depends on the business of the whole Group and may rise or fall. The return is neither guaranteed nor known in advance.
- The final valuation is set at the time of conversion, so the number and value of the shares you receive are not known in advance.
- The Group’s shares are not currently listed on a stock exchange: until any listing, liquidity is limited, so co-ownership should be viewed as a long-term position.
- If you do not exercise the option, you remain with the bond at 7.5% and repayment at maturity, and the issuer risk remains.
- A complete list of risks, terms and fees is set out in the Resolution on the Bond Issue and in the PRIIP KID, published on our website. Read them before making a decision.
