the Issuer also intends to offer a co-ownership option: a voluntary exchange of bonds for stakes in the Koykan Group. The investment opportunity in plain words.
Since 2012, Koykan has been building a chain of street food restaurants that now trades successfully in four European countries. For the next step, a stronger and more profitable chain, we are issuing a public Development Bond.
You invest EUR 1,000, and until 16 July 2029 we pay you a fixed 7.5% a year, paid half-yearly, and on 16 July 2029 we return the principal. For investors from EUR 5,000, we also intend to offer, alongside the interest, a co-ownership option: a voluntary exchange of bonds for stakes in the Koykan Group.
How the subscription and the option work technically is explained further down the page, in the section How it works.

Where does the money go?
Developing the existing chain and making it more profitable.
The proceeds of this issue go primarily towards developing the existing chain and making it more profitable, with room for further investment in growth.
A network heading towards 100+ restaurants by 2030.
Gradual and sustainable growth through owned and franchised locations, with a focus on the DACH, Czech, Croatian and Slovak markets.
First development cycle: 20 new locations across Europe
With operating partners, we are building 20 locations across the EU. The German programme is led by XELA Group, whose territory covers the whole of Germany, backed by a delivery plan; the Croatian programme runs in parallel, and new locations are also coming in Zagreb, Rijeka, Brno and Ljubljana.
Gastronomy 4.0
An automated, AI-driven food preparation line with a dedicated module for the employment of blind and partially sighted people. It is being delivered with three technology partners and with support from European Union funds.
Structured capital
Instead of continuing to rely on bank debt, we finance growth with structured capital: co-ownership, development (growth), yield and bonds. The yield channel raises capital through Koykan Drava d.o.o., which is planned to be transformed into a d.d. and listed on the Progress Market of the Zagreb Stock Exchange, the Croatian development channel through Koykan Mirna d.o.o., and the German development channel through a German joint-stock company. For professional investors, the Group is preparing to establish an alternative investment fund (AIF) in the Netherlands. The fund has not yet been established. Its establishment depends on approval from the competent authority, and it is not part of this offer.
Results so far
A model that works in four countries.
What has been built over the last 18 months is not just a number of locations: a repeatable operating model, a franchise framework and standardised processes have been established, from opening a location to day-to-day management, and the supply chain and digital infrastructure have been improved. Every new restaurant opens from the same template, with known costs and a known standard.
Koykan is therefore no longer an experiment in a single market, but a system that works in four countries and in different business environments. The model works, and this issue finances its scaling.
9 restaurants
The network operates in four European countries (Croatia, Germany, the Czech Republic and Slovakia), with further locations under construction. It has been built gradually, through owned and franchised restaurants, so the business does not depend on a single market or a single location.
> EUR 90,000 EBITDA per location
Annual EBITDA per location, after all operating costs. This is the cash that remains from the regular operations of each restaurant.
~ EUR 5 million in annual revenue
The network’s annual revenue over the past period. With a repeatable operating model, a franchise framework and standardised processes, each new location adds revenue to the existing base.
> 500 small investors
Small investors have been building Koykan from day one, through a number of public bond rounds carried out via SKDD. The history of all rounds and payments is publicly documented on the Koykan Investor Relations page.
Since 2012
Since then, Koykan has been building its brand, technology, franchise concept and network of locations: fourteen years of operating experience behind this programme.
Two levels of entry
Choose the level that suits you.
Both routes carry the same fixed interest of 7.5% and the same subscription process. There is one difference: for investors from EUR 5,000, the Issuer also intends to offer a co-ownership option.
Fixed interest
from EUR 1,000 minimum subscription
- 7.5% fixed annual interest
- Coupon paid half-yearly
- Principal repaid in one payment on 16 July 2029
- Subscription in steps of EUR 1,000
- No co-ownership option: a pure bond
Fixed interest + co-ownership option
from EUR 5,000 threshold for the option
- All the benefits of the standard bond
- The 7.5% fixed interest stays the same
- If the Issuer offers an exchange for stakes, accepting is your choice, not an obligation
- The possibility of becoming a co-owner of Koykan
- The Issuer sets the terms of the exchange in a separate resolution: until then, you need do nothing
The bond is not convertible and carries no right to exchange it for stakes. Even so, the Issuer intends, during the life of the bond, to offer investors from EUR 5,000 a separate, voluntary exchange of bonds for stakes in the Koykan Group.
The Issuer will set the terms of the exchange, including the ratio and the method of determining value, in a separate resolution, if and when it makes such an offer. In the meantime, the Group is being transformed from a limited liability company into a joint-stock company, so conversion takes place after that transformation.
If you do not accept the offer, you remain a bondholder: 7.5% fixed and repayment of the principal on 16 July 2029.

The whole process is carried out transparently, with registration at the Central Depository & Clearing Company (SKDD).
Step 1
Complete the subscription form
You complete the subscription form on the Development Bond subscription page, which is opened by the “Subscribe to the Development Bond” button on this page, in steps of EUR 1,000.
Step 2
Payment and registration at SKDD
After the subscription book is closed, you receive a payment request. The bonds are registered at SKDD, and if you do not yet have an account, one is opened automatically in your name. Technical and administrative coordination of the subscription is carried out by Escont Partners d.o.o.
Step 3
Interest and maturity
The 7.5% fixed interest is paid half-yearly, and the principal in one payment on 16 July 2029. If the Issuer offers the co-ownership option, you decide whether to accept, on the terms of that offer.
Risks
What you need to know before investing.
Key risks
- Investing in securities carries risk, including the risk of losing part or all of the principal invested.
- The risks include changes in the food market, operational challenges in expanding the retail network and possible regulatory changes in the franchise segment.
- Koykan operates through a diversified portfolio of carefully selected locations and a technology-integrated system for monitoring the business, which reduces operational and financial risks but does not eliminate them.
- The co-ownership option is not a right attaching to the bond or a guarantee of return. If the Issuer offers it, the value of the stake depends on the business of the Koykan Group.
- A complete list of risks, terms and fees is set out in the Information Document and in the PRIIP KID, published on our website. Read them before making a decision.
